RESIGNATION OF CHIEF FINANCIAL OFFICER

The board (the "Board") of directors (the "Directors") of Xinchen China Power Holdings Limited (the "Company") announces that Ms. Luo Hang ("Ms. Luo") will resign from her office as the chief financial officer of the Company with effect from 7 April 2018 due to her other business commitments which require more of her dedication.

Ms. Luo has confirmed that she has no disagreement with the Board and there is no matter that needs to be brought to the attention of the shareholders of the Company or The Stock Exchange of Hong Kong Limited.

The Board would like to express its sincere gratitude to Ms. Luo for her contribution to the Company during her tenure of service.
