FURTHER EXTENSION OF LONG STOP DATE RELATING TO

THE MAJOR TRANSACTION

References are made to the circular of the Company dated 25 May 2018 (the "Circular") and the announcements of the Company dated 15 January 2018, 20 February 2018, 19 April 2018, 30 April 2018, 3 May 2018 and 11 May 2018 in relation to the Acquisition and the transactions contemplated thereunder. Unless otherwise defined in this announcement, all capitalised terms and herein shall have the same meanings as those defined in the Circular.

On 11 May 2018, the parties to the Sale and Purchase Agreement (the "Parties") entered into the supplemental agreement to extend the date for fulfillment of the Conditions Precedent to 30 June 2018 (or such later date as the Parties may agree in writing). As it requires more time for the Parties to complete the due diligence investigation and the Reorganisation, the Parties entered into further supplemental agreement on 29 June 2018 to further extend the date for fulfillment of the Conditions Precedent to a date on or before 31 August 2018 (or such later date as the Parties may agree in writing). Save as aforesaid, all other terms and conditions of the Sale and Purchase Agreement shall remain unchanged and in full force and effect.
