Reference is made to the announcement (the "Announcement") of the Company dated 8 December 2015 in respect of the acquisition of 38.7% of the total issued share capital of Harmony Gas. Capitalised terms used herein shall have the same meanings as those defined in the Announcement.

The Board is pleased to announce that completion of the Acquisition took place on 14 July 2017. Following the completion of the Acquisition, Harmony Gas is a wholly-owned subsidiary of Zhongyu Beijing.

Set out below is the unaudited consolidated total asset value and unaudited total net asset value of Harmony Gas and its subsidiaries as at 31 December 2015 and 31 December 2016:
