TOKYO (Reuters) - Proxy adviser ISS said on Monday that it continued to recommend voting against appointing Toshiba Corp board chairman Osamu Nagayama amid the company's corporate governance crisis.
Nagayama has ultimate responsibility for the conduct of the rest of the board, ISS said, even after Toshiba said two board nominees are stepping down.

Osamu Nagayama is the Chairman and Chief Executive Officer of Chugai Pharmaceutical Co., one of Japan's largest drug companies.
He is also Chairman of the Board of Directors of Sony Corporation.
Nagayama is a member of the Board of Directors of the International Centre for Missing & Exploited Children (ICMEC), a global nonprofit organization that combats child sexual exploitation, child pornography, and child abduction.
He obtained his bachelors degree from Keio University in 1971.
