2016 REGISTRATION DOCUMENT Including the Annual Financial Report

The French version of this Registration Document was filed with the French Financial Market Authority (AMF) on 13 April 2017, in accordance with Article 212-13 of the AMF General Regulations.

This Registration Document was prepared by the issuer and entails liability of its signatories.

It can be used to support a financial transaction if it is completed by an issue prospectus that carries the approval of the AMF.

In accordance with Article 28 of European Regulation No 809/2004 of 29 April 2004, the following information is included by reference in this Registration Document:

• A review of FREY's financial position and results for the financial year ended 31 December 2014, which is set out in the chapter entitled "Annual Financial Report" of the 2014 Registration Document (page 271);

• The Group's consolidated financial statements for the year ended 31 December 2015 and the report on said consolidated financial statements prepared by FREY's Statutory Auditors, which are set out in the Chapter entitled "Annual Financial Report" in the 2015 Registration Document (pages 220 and 274);

• The special report prepared by FREY's Statutory Auditors on the regulated agreements and undertakings for the financial year ended 31 December 2015, which are set out in the Chapter entitled "Related-party transaction" (page

  346) of the 2015 Registration Document;

• A review of FREY's financial position and results for the financial year ended 31 December 2015, which is set out in the chapter entitled "Annual Financial Report" of the 2015 Registration Document (page 278).
