SUPPLEMENTAL ANNOUNCEMENT

DISCLOSEABLE TRANSACTIONS

SUPPLEMENTAL AGREEMENT TO COOPERATION AGREEMENT

Reference is made to the announcements of Global Digital Creations Holdings Limited (the "Company") dated 17 December 2018 and 25 January 2019 (the "Announcements") in relation to the Cooperation Agreement entered into between Shenzhen IDMT, Foshan GDM, Foshan Xincai and Brilliant Link. Unless otherwise specified, capitalized terms used herein shall have the same meanings as defined in the Announcements.

On 31 May 2019, Shenzhen IDMT, Foshan GDM, Foshan Xincai and Brilliant Link entered into a supplemental agreement to the Cooperation Agreement (the "Supplemental Agreement") to supplement the terms of the Cooperation Agreement.

Pursuant to the Supplemental Agreement, the parties agreed that Brilliant Link shall be entitled to nominate one director to the board of directors of Foshan GDM as its deputy chairman, but will not be involved in the operations and management of Foshan GDM. Save as disclosed above, the other terms of the Cooperation Agreement remained unchanged and in full force and effect.

The above was arrived at arm's length negotiations between the parties and taking into account the totality of the terms of the cooperation as a whole. The Directors consider that the terms of the Cooperation Agreement as supplemented by the Supplemental Agreement are fair and reasonable, based on normal commercial terms and are in the best interests of the Company and its shareholders as a whole.
