Cielo S A : Material Fact - Amendment to the Shareholders'

Signature of Amendment to the Shareholders' Agreement due to the conclusion of the partial spin-off of the assets of BB Banco de Investimento S.A., with the transfer of its equity interest in CIELO S.A. to BB Elo Cards Participações S.A.

CIELO S.A. ("Company") (B3: CIEL3), in compliance with the provisions of Paragraph 4 of Article 157 of Law 6,404 / 76 and CVM Instruction 358/02, as amended, in addition to the Notice to the Market of January 18 2019, hereby announces to its shareholders and other interested parties that, after the approval of the regulatory, supervisory and supervisory bodies, pursuant to the applicable law, the partial spin-off ("Transaction") of the assets of BB Banco de Investimento S.A. ("BB BI"), corresponding to the equity interest held by BB BI in the Company, and the transfer of the spin-off portion to BB Elo Cards Participações S.A. (" BB Elo"). BB BI and BB Elo are wholly owned subsidiaries of Banco do Brasil S.A.

As a result of the conclusion of the Transaction, the Fourth Amendment to the Company's Shareholders Agreement between Columbus Holding S.A. (an entity belonging to the Bradesco S.A. group) and BB Elo, as the Company's new shareholder, was signed on this date, succeeding BB BI with the same rights and previously held obligations.
