BNY Mellon: The First Trustee to Execute CLO-AMR Auction

BNY Mellon became the first trustee to execute the first of its kind refinancing of a collateralized loan obligation (CLO) through an applicable margin reset (AMR) auction, which went live January and settled on February 18. A hybrid structure, the AMR feature enables automatic refinancing to allow investors to bid in the auction without the need to create new securities. KopenTech, a financial technology company, operates the Alternative Trading System that hosted the auction.

The AMR method of repricing CLO debt was developed by Sancus Capital Management, and brought to market in 2016 with BNY Mellon acting as Trustee, Collateral Administrator, Paying Agent and Registrar. Since then, BNY Mellon has been appointed on six CLO transactions with the AMR feature and BNY Mellon Capital Markets acting as AMR Agent.
