Item 1.01 Entry into a Material Definitive Agreement

On April 5, 2020, Sharing Economy International Inc (the "Company") and Oasis Capital, LLC ("Oasis") entered into a Equity Purchase Agreement, Oasis shall purchase from the Company up to Four Million Dollars ($4,000,000) of the Company's Common Stock, at 85% of Market Price. 400,000 shares of Common Stock has issued by the Company to Oasis as Commitment Shares. The foregoing description of the Share Exchange Agreement does not purport to be complete and is qualified in its entirety by reference to the complete text of the Agreement, which is incorporated herein by reference and attached hereto as exhibit 10.1.
