Item 8.01 Other Events.




On April 29, 2020, the Company's Board of Directors declared a cash dividend of
15 cents per share, payable June 15, 2020, to shareholders of record as of June
1, 2020. The cash dividend authorization is described in the press release dated
April 29, 2020, and attached hereto as Exhibit 99.1.
