NOTICE OF ADJUSTMENT TO THE CONVERSION RATIO

ODIRNANE QUADIENT 3,375% - FR0012799229

Paris, September 7th 2020

Holders of the net share settled undated senior unsecured bonds convertible into new shares and/or exchangeable for existing shares (« ODIRNANE ») (ISIN CODE : FR0012799229) are informed that the Quadient SA shareholders' General Meeting held on July 6th, 2020 decided to distribute a dividend of 0.35 € per QUADIENT SA share (ISIN code : FR000120560). The dividend will be paid on September 9th, 2020 and the ex- date is September 7th, 2020.

Following this dividend payment, in accordance with paragraph 15.7.2.10 of the Terms and conditions of the ODIRNANE (available on the company website), the Conversion Ratio is adjusted from 1.340 to 1.382 share for 1 ODIRNANE (calculated to three decimal places by rounding to the nearest thousandth). The new Conversion Ratio is effective on September 7th, 2020.
