(the "Registrant," "BGC Partners" or "BGC") issued a press release announcing an offer to exchange up to $300 million aggregate principal amount of its outstanding 4.375% Senior Notes due 2025 for an equivalent amount of 4.375% Senior Notes due 2025 registered under the Securities Act of 1933, as amended.
