PUBLICATION OF A LIST FOR THE APPOINTMENT OF THE BOARD OF DIRECTORS

AND OF THE MANAGEMENT CONTROL COMMITTEE

COMMUNICATION PURSUANT TO ART. 22, PARAGRAPH 6 OF THE ARTICLES OF

ASSOCIATION

Bergamo, 22nd September 2020 - Following the publication on 4th September 2020 of the notice calling the Shareholders' Meeting of UBI Banca S.p.A. (the "Bank"), in single call, on 15th October 2020, UBI Banca informs that, on 18th September 2020, the shareholder Intesa Sanpaolo S.p.A., owner of no. 1,031,958,027 shares of the Bank (equal to 90.18% of the share capital) as of 16th September 2020, filed a list of fifteen candidates for the appointment of the members of the Board of Directors and of the Management Control Committee for the financial years 2020/2021/2022.

In accordance with the Bank's statutory provisions, in Section 1 of the slate presented, ten candidates were indicated for the office of Director; in Section 2 five candidates for the office of Director and Member of the Management Control Committee, all ranked with progressive numbering in each section.

The aforementioned list, together with the documentation required by regulations in force, is available at the registered office of UBI Banca and published on the Bank's website (www.ubibanca.it - Shareholders Section - Shareholders' Meetings - Shareholders' Meeting October 2020) as well as on the storage mechanism called "1info" (www.1info.it), in compliance with the terms and conditions provided for by the law.

At the expiry of the deadline for the presentation of the lists, the aforementioned list presented by the shareholder Intesa Sanpaolo S.p.A. is the only list filed for the appointment of the Board of Directors and the Management Control Committee for the three-year period 2020/2021/2022.

Therefore, pursuant to art. 22, paragraph 6 of the Articles of Association, Shareholders who represent (on their own or together with other Shareholders) at least 0.5% of the Bank's share capital, may present their own lists for the appointment of the Board of Directors and of the Management Control Committee, together with the documentation required by applicable provisions, including statutory provisions, as follows:

1. in original at the Bank's "Corporate Affairs Department", in Bergamo Piazza Vittorio Veneto no. 8, by
   - as final deadline - 5.00 pm Italian time on 24th September 2020;
2. transmission by certified e-mail to the address "[e-mail]", attaching the documents in PDF format, provided that the depositor, even if he is a legal person, uses his own certified e-mail box or, in lack, signs the electronic document (PDF) with an advanced, qualified or digital electronic signature, within - as final deadline - 24th September 2020.

Any list presented will be subject to the forms of disclosure envisaged by current laws and regulations. In particular, the lists will be made available to the public at the registered office of UBI Banca, on the authorized storage mechanism (at www.1info.it) and on the Bank's website (www.ubibanca.it - Shareholders Section - Shareholders' Meetings - Shareholders' Meeting October 2020).
