Arabian Drilling Company Announces the Formation of the Audit Committee, Effective November 6, 2025

Arabian Drilling announced the decision of its Board of Directors in its new term to form the Audit Committee, which will begin its work from the date of issuance of the Board of Directors? decision for a period of four calendar years ending on November 1, 2029, as follows; Mr. Ghazi Al-Rawi Chairman of Committee (Independent) Membership Start Date is November 6, 2025. Has multiple experiences, including: Founder and Chairman of Valuegate Investments, and the Owner and Director of Green Oasis Hotels, and Ithmaar Theiba Dates.

The member held leadership and advisory positions in several prestigious entities, including: Founder, Managing Partner, Board Member of Eastgate Capital Group (NCB Capital), Board Member of Sanabel Investment Company, and Senior Advisor at King Abdullah City for Atomic and Renewable Energy. Also worked as an assistant professor at King Abdulaziz University. A consultant at the Saudi Capital Market Authority, McKinsey & Partners, National Semiconductor, and Lucent Technologies.

In addition, being a member of advisory boards and government and private entities inside and outside the Kingdom. Mr. Adel S. Al Ghadban Committee member (Non Executive) Membership Start Date is November 6, 2025. Currently the Acting Chief Executive Officer of TAQA.

Having extensive experience in investment and management. Held several leadership positions at TAQA, including Chief Investment Officer, Executive Vice President of Governance and Project Management, and Vice President of Investment and worked as a financial advisor at TAQA. Currently a Senior Control Advisor at NEOM, and prior to that he was the General Audit Advisor for Banque Saudi Fransi Group. He served as Chief Internal Audit Officer and Secretary of the Audit Committee at Banque Saudi Fransi, where he led the development of the internal audit strategy and its alignment with international best practices. He took on the role of Chief Internal Audit Officer at ANB, where he founded and developed internal audits and focused on risk management and governance.

He worked as the Head of International Recruitment at the Saudi Industrial Development Fund. He was the Senior Manager of Retail Banking in the Central Region at Saudi British Bank. He has been a member and chair of audit committees in major companies and institutions such as BSF Capital, BSF JB, and Saudi Arabian Football Federation, and Riyadh Airports Company.

Mr. Naseem H. Haidar Committee member (independent from outside the board of directors) Membership Start Date is November 6, 2025. Member Has extensive experience in financial management, governance, auditing, risk management, and internal control. Held leadership positions in boards and committees of listed companies and government entities, where he led transformation and compliance initiatives, including IPO preparations, mergers and acquisitions, and regulatory reviews.

Previously served as Chief Financial Officer (CFO) of Aljihaz Energy Holding Company and a member of the boards and committees of its subsidiaries, with direct oversight of financial reporting, risk review, and establishment of governance frameworks and mergers of acquired companies. Chief Financial Officer of Dussur, where he supervise the financial strategy, and membership of the audit and investment committees. Chief Financial Officer of NESR/NPS Group, with experience in risk management, auditing, compliance, and corporate restructuring across more than 15 countries.

Executive Director of Governance and Internal Control at Horizon Terminal Group, where he led Group-wide audit and compliance initiatives. He has extensive experience with Schlumberger in multiple finance and regulatory positions across diverse geographies.
