Atos S.E. had referred to the trust deed dated December 17, 2024 (as amended, restated and/or supplemented from time to time, the ?Trust Deed?) between, amongst others, the Issuer and GLAS Trustees Limited (the ?Trustee?), constituting the Notes and containing the terms and conditions of the Notes (the ?Conditions?). NOTICE IS HEREBY GIVEN THAT, pursuant to Condition 11.9, a Permitted Refinancing Event has occurred and accordingly each Noteholder may elect to have all or any of its Notes redeemed by the Issuer (such election, the "Put Option") at a price equal to the applicable Early Redemption Amount which is equal to 106.161% of the principal amount thereof together (without double counting) with interest accrued to but excluding June 25, 2026 (the ?Permitted Refinancing Put Date?). The Permitted Refinancing Put Event has occurred as a result of the completion on May 21, 2026 of the issuance by the Company of (i) EUR 950,000,000 in aggregate principal amount of the Issuer?s 8.125% Senior Secured Notes due 2031, (ii) EUR 300,000,000 in aggregate principal amount of the Issuer?s Senior Secured Floating Rate Notes due 2031 and (iii) the entry into a new revolving credit facility agreement under which the Issuer will benefit from a new senior revolving credit facility in a principal amount of EUR 110,000,000 (together, the ?Permitted Refinancing?).

In accordance with clause 20.1(C) of the Intercreditor Agreement, the proceeds of the Permitted Refinancing shall be applied to on a pari passu and pro rata basis between the Notes, the 1L Term Loan, the 1L RCF and the 1L Bonding Line (as such terms are defined in the Intercreditor Agreement). To the extent that Noteholders do not elect to exercise the Put Option, the Issuer shall, in accordance with Clause 20.1(C) of the Intercreditor Agreement, apply any remaining Permitted Refinancing towards the voluntary prepayment of the Notes in full in accordance with the terms of the Intercreditor Agreement, the definition of ?Permitted Refinancing? and Condition 11.3 of the Trust Deed.
