Audensiel SAS agreed to acquire an unknown minority stake in Fos S.p.A. (BIT:FOS) on March 11, 2025. Audensiel has signed a two seperate agreement undertook to purchase a total shareholding representing 54.43% of the capital of Fos. Upon completion of the transaction (which remains subject to the satisfaction of the condition precedent set out in the contracts). Gian Matteo Pedrelli and Enrico Botte will continue to serve as CEOs of Fos, while Brunello Botte will assume the role of consultant. Audensiel will launch a mandatory public purchase offer aimed at delisting the Fos shares.
Eliana Catalano, Gianfranco Veneziano, Francesca Peruzzi and Vittorio Pomarici of Bonelli Erede Pappalardo Studio Legale acted as legal advisor to Audensiel. Benedetto Lonato of Lega Colucci Morri & Associati acted as legal advisor to Bb Holding. Bertrand Hermez, Marie Dokchine and Andrea Bianchini of Clairfield International acted as financial advisor for Audensiel. Marco Morfino of Clearwater International acted as a financial advisor to BP Holding S.r.l. and BB Holding S.r.l. in the deal.
