AURELIUS Equity Opportunities SE & Co. KGaA (HMSE:AR40) entered into a definitive agreement to acquire Cromwell Group (Holdings) Limited from W.W. Grainger, Inc. (NYSE:GWW) on October 6, 2025. A cash consideration will be paid by AURELIUS Equity Opportunities SE & Co. KGaA. As part of consideration, an undisclosed value is paid towards common equity of Cromwell Group (Holdings) Limited.

The transaction is subject to satisfaction of customary closing conditions and regulatory approval. This deal is expected to close in the coming months. As of October 31, 2025, the completion of the sale is expected in the fourth quarter of 2025.
