Authentic Brands Group, LLC entered into a definitive agreement to acquire Levi Strauss & Co. (Canada) Inc. from Levi Strauss & Co. (NYSE:LEVI) for approximately CAD 390 million on May 18, 2025. The transaction has initial transaction value of CAD 311 million, subject to customary adjustments and closing conditions, with the potential to reach up to CAD 391 million through an CAD 80 million earnout opportunity in future years based on the performance of the Dockers® business under Authentic?s ownership.
The transaction is subject to customary closing conditions, and the expected completion of the transaction is on or around July 31, 2025.
