Beijing Kingsoft Office Software, Inc. (SHSE:688111) agreed to acquire remaining 31.98% stake in Beijing Suwell Technology Co., Ltd. from a group of shareholders for approximately CNY 250 million on June 5, 2025. A cash consideration of CNY 253.69 million will be paid by Beijing Kingsoft Office Software, Inc. As part of consideration, CNY 253.69 million is paid towards common equity of Beijing Suwell Technology Co., Ltd. Upon completion, Beijing Kingsoft Office Software, Inc. will own 100% stake in Beijing Suwell Technology Co., Ltd. The transaction will be financed through equity investment of CNY 253.69 million.
As of December 31, 2024, Beijing Suwell Technology Co., Ltd. reported total assets of CNY 418.15 million and total common equity of CNY 271.83 million.
The transaction is subject to approval of offer by acquirer board. The deal has been approved by the board.
