CAC Holdings Corporation (TSE:4725) agreed to acquire 78.20% stake in JEMS Inc from Hiroki Sunaga and others on February 24, 2026. CAC Holdings will acquire 119,150 ordinary shares, representing 67.5% held Hiroki Sunaga and 138,000 shares (voting rights ratio: 78.2%) 18,850 shares he will acquire from all other shareholders excluding Toyota Tsusho Corporation, totaling 138,000 shares. The scheduled signing will be on February 24, 2026.

For the period ending September 30, 2025, JEMS Inc reported total revenue of ¥4.2 billion, EBIT of ¥426 million and net income of ¥291 million. As of September 30, 2025, JEMS Inc reported total assets of ¥3.26 billion and total common equity of ¥1.81 billion.

The transaction is subject to approval of offer by acquirer board. The deal has been approved by the board. The expected completion of the transaction is in February 2026.
