Directors and officers, a key employee of the Company and Almonty Partners, LLC to enter into lock-up agreements, each in form and content acceptable to the Underwriter and its counsel, acting reasonably, in favour of the Underwriter, evidencing their agreement not to directly or indirectly sell or agree to sell, any Common Shares or securities exchangeable or convertible into Common Shares for 30 days from the date of the Underwriting Agreement.
