Cloud Software Group, Inc. has entered into a definitive agreement to acquire Arctera US Holdings, LLC from funds affiliated by The Carlyle Group Inc. (NasdaqGS:CG) on August 5, 2025. Cloud Software Group expects to fund the acquisition using cash on its balance sheet. Upon close, Arctera will operate as a standalone business unit within the Cloud Software Group portfolio. As of period ending December 31, 2024, Arctera US Holdings, LLC generates more than $400 million of annual revenue and more than 40% adjusted EBITDA margins. Following the transaction, Arctera will operate as a standalone business within the Cloud Software Group portfolio. The transaction is expected to close in the fourth quarter of 2025, subject to certain regulatory approvals and customary closing conditions.
