Com7 Public Company Limited held the Board of Directors? Meeting No. 2/2026 on 11 March 2026, which resolved to approve the construction of a 6-storey office building with an approximate usable area of 9,900 Square Meters and a parking building with a capacity of approximately 300 parking spaces on the land under the Long-Term Lease Agreement, located at Sanphawut Road, Bang Na Tai Subdistrict, Bang Na District, Bangkok, in order to accommodate the Company?s business expansion and the increasing number of employees.
This building will be located near the Company?s current headquarters, with a total construction budget not exceeding THB 400 million. The construction is expected to commence within the second quarter of 2026. The aforementioned New Building Construction constitutes an acquisition of assets transaction pursuant to the Notification on Acquisition or Disposal of Assets.
In this regard, upon calculation of the transaction size, the transaction size is equal to 1.27% of the Company?s total assets based on the Company?s consolidated financial statements as of 31 December 2025 (the calculation criterion that results in the highest transaction size). Such transaction is considered an acquisition of assets transaction with a value of less than 15% of the Company?s total assets. Therefore, the Company is not required to prepare any report or disclose any information to the Stock Exchange of Thailand pursuant to the Notification on Acquisition or Disposal of Assets.
In addition, when the transaction size is calculated together with the aforementioned long-term land lease transaction, the combined transaction size is equal to 1.96% of the Company?s total assets based on the Company?s consolidated financial statements as of 31 December 2025 (the calculation criterion that results in the highest transaction size), with a value of less than 15% of the Company?s total assets. Therefore, the Company is not required to prepare a report or disclose information to the Stock Exchange of Thailand pursuant to the Notification on Acquisition or Disposal of Assets. The designer and the construction contractor for the project are not connected persons pursuant to the Notification on the Connected Transactions.
Moreover, the Board of Directors? Meeting resolved to authorize Miss Aree Preechanukul to negotiate and enter into construction agreements and any related documents in connection with such construction, including to undertake any actions in relation to the construction engagement in order to ensure the completion of such construction.
