On June 1, 2026, Four Tree Island Advisory LLC announced that over 92% of unaffiliated stockholders of Willis Lease Finance Corporation opposed Company?s executive compensation and nearly 84% opposed re-election of Stephen Jones, failed to secure sufficient stockholder support for proposal to triple authorized share count and adjourned Annual Meeting with reconvened Annual Meeting on June 23, 2026. In addition, Four Tree Island commented on the decisive rebuke to Board of Directors and management team and profound lack of confidence in governance and oversight, clear and unambiguous message from minority stockholders that fundamental changes are required and urged the Company shareholders to vote against the proposed increase in authorized shares. Further, Four Tree Island stating that cancellation and rescission of 300,000-share option grant awarded to Executive Chairman Charles Willis, and sale of luxury superyacht and sale of one of two corporate aircraft and commitment not to acquire similar assets.

Furthermore, Four Tree Island called on the Company Board to address egregious compensation and perquisite culture and respect mandate of stockholders and continuing to ignore will of minority stockholders risks further erosion of trust and value.
