Future plc (LSE:FUTR) agreed to acquire SheerLuxe Ltd and BLUSH Talent MGMT Ltd for £80 million on January 22, 2026. A cash consideration of £39.9 million will be paid by Future plc. Future plc will pay an earnout/contingent payment of £40.1 million cash based on delivery of continued double-digit EBITDA growth through to FY 2029.
As part of consideration, £40.1 million is paid towards assets and £39.9 million is paid towards common equity of SheerLuxe Ltd/ BLUSH Talent MGMT Ltd. For period ending September 2025, SheerLuxe generated revenues of £12.6m and EBITDA of £5.1m. The deal is funded from existing facilities with an incremental interest cost of £3 million.
