GoFintech Quantum Innovation Limited made this announcement on a voluntary basis to inform the shareholders and potential investors of the Company of the latest business development of the Group. The board of directors of the Company announced that on May 8, 2026, the Company entered into a non-legally binding strategic cooperation memorandum of understanding with QureGenAI (Suzhou) BioTechnology Co. Ltd. in relation to the strategic cooperation between the Company and QureGenAI Biotech.
Pursuant to the MOU, the Parties intend to collaborate in the following areas through a milestone-based licensing model: (i) Asset Licensing and Acquisition: The Parties agreed to use joint venture companies to jointly operate QureGenAI Biotech?s quantum computing drug discovery systems (including the QureGenAI and TyxonQ platforms) through licensing arrangement and would further acquire the QuantumAIDD Platforms and drug pipelines through milestone-based steps; (ii) Industrial Fund: The Parties agreed to jointly initiate the establishment of a quantum frontier technology investment fund which will invest in the development of specialized quantum chips for the biopharmaceutical and materials sectors, as well as other frontier areas of quantum technology; and (iii) Quantum Computing Center: The Parties will, in accordance with relevant policies, jointly establish a quantum computing center in Hong Kong with a focus on the research and development of quantum computing application technologies and related innovation work. The Parties agree to complete the negotiation and finalize the formal definitive agreement of the Strategic Cooperation within 90 days from the date of signing of the MOU. Further announcement(s) will be published by the Company in relation to the Strategic Cooperation as and when appropriate.
In April 2026, the Group and QureGenAI Biotech established a joint venture company in the British Virgin Islands which marks the commencement of the Group?s strategic expansion into the quantum AI drug discovery sector. The Board believes that the Strategic Cooperation represents an opportunity for the Group: (a) to further explore the developments in cutting-edge technology sectors and the potential integration of its resources with the QureGenAI Biotech?s infrastructures, such as the QureGenAI and TyxonQ platforms; and (b) to target sectors such as drug discovery and new material design, leveraging QureGenAI Biotech?s existing drug pipelines and quantum-AI computing assets to explore the diversification of the Group?s potential revenue streams. In addition, the Board believes that the potential integration of the respective management and technical resources with QureGenAI Biotech will enhance the Group?s technical competitiveness in the ?Quantum-AI? convergence era and the Strategic Cooperation will allow the Group to leverage its management resources alongside QureGenAI Biotech?s technical expertise.
As such, the Board considers that the entering into of the MOU is in the interests of the Company and its shareholders as a whole and will create sustainable value for the shareholders of the Company.
