The Competition Commission of India(CCI) has approved a proposal by Singapore-based BCP Asia II Holdco VII Pte. Ltd., an affiliate of US private equity firm Blackstone Inc.(BX:NYSE), to acquire as much as 80.15% of Aadhar Housing Finance Ltd.(AADHARHOUSING:NSE) through a secondary share purchase and an open offer to public shareholders, according to a press release by the CCI.

The deal, announced after review by India’s competition authority, will give BCP Asia majority control of one of India’s largest housing finance companies. Aadhar Housing Finance specialises in providing home loans and loans against property to low and middle-income borrowers across the country.

The company is also registered with the Insurance Regulatory and Development Authority of India as a composite corporate agent, enabling it to distribute both life and general insurance products. BCP Asia, incorporated in Singapore, is an investment holding entity managed and advised by affiliates of Blackstone(BX:NYSE). The company does not currently undertake any operational or commercial activity in India or elsewhere.

The acquisition reflects Blackstone’s strategy to deepen its presence in India’s expanding financial services sector, particularly in the affordable housing finance segment, which continues to benefit from government-led housing initiatives and rising demand from first-time buyers.

Regulatory clearance from India’s competition watchdog marks an important step toward completing the transaction, which is set to strengthen Blackstone’s foothold in the country’s non-banking financial services market, valued at about $400bn.
