KFin Technologies Limited (NSEI:KFINTECH) entered into a definitive agreement to acquire an unknown minority stake in ASCENT Fund Services (Singapore) PTE. LTD. from its existing shareholders for $29.7 million on April 16, 2025. Immediate investment of $34.7 million by KFin Technologies Limited, to be funded through internal accruals. In a related transaction, KFin Technologies Limited entered into a share subscription agreement pursuant to which the KFin Technologies Limited shall acquire by way of subscription to 0.76 ordinary shares of ASCENT Fund Services (Singapore) PTE. LTD. After completion of both the transactions, KFin Technologies Limited will hold 51% stake in ASCENT Fund Services (Singapore) PTE. LTD. The combined deal value for the transactions is $34.7 million.
Post this transaction, KFin Technologies Limited will become the sole promoter of ASCENT Fund Services (Singapore) PTE. LTD., and the residual 49% stake will be acquired in three equal tranches of 16.33% each after the end of fiscal year 2028, 2029, and 2030 respectively.
For the period ending December 31, 2024, ASCENT Fund Services (Singapore) PTE. LTD. reported total revenue of $13.32 million.
The transaction is subject to approval by regulatory board / committee, including but not limited to the Securities and Exchange Board of India, the Pension Fund Regulatory and Development Authority, and the Reserve Bank of India under the Foreign Exchange Management (Overseas Investment) Rules, 2022, as well as regulatory authorities in jurisdictions other than India which regulate the business activities of ASCENT Fund Services (Singapore) PTE. LTD. and its subsidiaries and approval of offer by acquirer board. The deal has been approved by the board. Transaction is expected to close in 3-4 months (July-August?25).
