L'Air Liquide S.A. (ENXTPA:AI) commences share repurchases on March 5, 2026, under the program mandated by the shareholders in the Annual General Meeting held on May 6, 2025. As per the mandate, the company is authorized to repurchase up to 57,825,926 shares, representing 10% of its issued share capital for a total of ?17,347.78 million. The shares would be repurchased at a maximum purchase price of ?300 per share (excluding acquisition costs). The repurchased shares will be cancelled; or tendered following the exercise of rights attached to marketable securities conferring entitlement to company shares by redemption, conversion, exchange, presentation of a warrant or any other means; or will be used to implement any share purchase option plans, or to implement plans for free share attributions, or any employee share ownership transactions reserved for members of the company savings plan through the transfer of shares bought back previously by the company under this resolution, or providing for free share attributions in respect of a contribution in shares by the company and/or to replace the discount, or used for share grants to employees and/or executive officers of the company or affiliated companies; or to maintain an active market in the company's shares pursuant to a liquidity contract in accordance with the market practice recognized by the French financial market authority. The authorization is valid for a period of 18 months starting from the date of passing of this resolution. As of December 31, 2024, the company had 578,259,263 issued shares.
On February 23, 2026, the company announces a share repurchase program. Under the program, the company will repurchase up to 964,000 shares. The repurchased shares will be partly cancelled by the company and partly be used for implementation of performance share plans of the company.
