Lloyds Metals and Energy Limited (BSE:512455) agreed to acquire 49% stake in Thriveni Pellets Private Limited from Adler Industrial Services Private Limited for INR 4.9 billion on August 12, 2025. The total consideration consists of INR 2 billion cash and non cash consideration of INR 2.86 billion swap of shares by way of issuance and allotment of 1,957,458 common equity of Lloyds Metals and Energy Limited to be issued on a preferential basis for INR 1460.50 having a face value of INR 1 per equity share to Adler Industrial Services Private Limited. As part of consideration, INR 4.86 billion is paid towards common equity of Thriveni Pellets Private Limited. In a related transaction, Lloyds Metals and Energy Limited agreed to acquire 0.99% stake in Thriveni Pellets Private Limited from Thriveni Earthmovers Private Limited for INR 98.2 million on August 12, 2025. Upon completion of the acquisitions, Lloyds Metals and Energy Limited (BSE:512455) will own a 49.99% stake in Thriveni Pellets Private Limited.
For the period ending March 31, 2025, Thriveni Pellets Private Limited reported total revenue of INR 11.25 billion.
The transaction is subject to approval by regulatory board / committee, approval of offer by acquirer board, subject to antitrust regulations, shareholder approval and completion of customary conditions precedent. The deal has been approved by the board. The consummation of the proposed acquisition is expected to be completed in the next 3-4 months. As of October 7, 2025 Competition Commission of India has approved the acquisition.
