On May 15, 2026, Oasis Management Company Ltd. announced that it has submitted shareholder proposals for Kyocera Corporation?s June 2026 annual general meeting. Oasis urged the shareholders to support a JPY 350 billion share buyback, the removal of Chairman Goro Yamaguchi due to sustained underperformance and governance failures, and the appointment of Kotaro Okamura as an external director to drive transformational change. Oasis highlighted the Company?s leadership issues regarding poor capital allocation, low returns on equity, and resistance to meaningful reform, noting that proxy advisors ISS and Glass Lewis had previously recommended voting against Yamaguchi?s reappointment.
Oasis urged shareholders to vote for Oasis?s proposals and to vote against the Company?s proposal to reappoint Yamaguchi. Oasis added that the Company?s retention of Yamaguchi and former President Tanimoto undermines governance improvements and calls for a new management structure led by independent directors to restore shareholder value and accountability.
