Patricia Industries' subsidiary Laborie has announced the acquisition of Jada System from Organon for a total consideration of up to $465 million, according to a press release.

Jada System is a product that utilizes low-level vacuum technology to control and treat abnormal uterine bleeding following childbirth, particularly when conservative treatment is indicated.

The acquisition of Jada System strengthens Laborie's Obstetrics business area and adds an innovative product currently used in more than 20 countries worldwide. The product is a strong complement to Laborie's existing obstetrics portfolio.

For the 12-month period ending June 30, 2025, and for the full year 2024, Jada System reported revenues of $67 million and $61 million, respectively.

Expected profitability is in line with Laborie's historical performance. Approximately 100 employees, most of whom are in commercial roles, are expected to join Laborie as part of the acquisition.

Laborie will pay $440 million upon completion of the acquisition, with the possibility of an additional $25 million depending on the achievement of certain revenue targets in 2026.

The transaction, which is subject to relevant regulatory approvals, is planned to be financed through loans raised by Laborie and is expected to be completed during the first quarter of 2026.
