Pepkor Holdings Limited announced that Richard John Wainwright has been appointed as an Independent Non-Executive Director, effective February 24, 2026. Richard is a seasoned executive who served as Chief Executive Officer of Investec Bank Limited from 2016 until 2024. He holds a B.Com (Honours) degree in Financial Management from the University of Cape Town and qualified as a chartered accountant in 1988.
Richard has extensive risk, financial services, audit, global and capital markets experience and will be appointed to Pepkor?s Audit and Risk Committee and Investment Committee with effect from the date of his appointment to the Board. The company confirms that the appointment has been made in accordance with the Board Nomination Policy, and the Board confirms that it considered and is satisfied with the competence, qualifications and experience of the director being appointed. Pepkor shareholders and noteholders are further advised that Louis du Preez will retire from the board and consequently from the Investment Committee, Nominations Committee and the Human Resources and Remuneration Committee at the company?s Annual General Meeting on February 24, 2026.
In terms of the company?s Memorandum of Incorporation, Louis is due to retire from the Pepkor board by rotation at the AGM. Ian Kirk has been appointed to the Nominations Committee with effect from February 24, 2026. Ian currently chairs the Investment Committee and serves on the Human Resources and Remuneration Committee.
