Poste Italiane S.p.A. (BIT:PST) and Istituto Poligrafico e Zecca dello Stato S.p.A. exercised their option to acquire PagoPA S.p.A. from Ministero dell'Economia e delle Finanze for ?500 million on December 19, 2025. The consideration for the purchase of the stakes is approximately ?500 million, consisting of a fixed component and certain deferred and variable components. As part of the transaction Istituto Poligrafico e Zecca dello Stato S.p.A. is acquiring 51% stake while Poste Italiane S.p.A. is acquiring 49% stake in PagoPA S.p.A.

The transaction is subject to the approval by the Italian Competition Authority.
