RWE AG (RWE Aktiengesellschaft (XTRA:RWE)) is said to be considering buying an additional stake in German grid operator Amprion (Amprion GmbH) in a deal worth a low single-digit billion euro amount. The Essen-based energy group could buy a stake from a consortium led by pension fund Aerzteversorgung Westfalen-Lippe, business daily Handelsblatt reported on 28 May 2026. Currently, a joint venture between RWE and US private equity firm Apollo Global Management owns 25.1% of Amprion.
The remaining 74.9% shareholding is held by M31 Beteiligungsgesellschaft mbH & Co Energie KG. The Aerzteversorgung Westfalen-Lippe-led group, which is part of M31, controls 16.5% and plans to sell it in full, Handelsblatt said, citing unnamed sources. The potential purchase would bring RWE and Apollo's shareholding to 41.6%.
Reportedly, RWE has already signed a preliminary agreement with Aerzteversorgung Westfalen-Lippe, which still needs to be approved by corporate bodies. A potential approval could be granted in the middle of June, when RWE's next regular supervisory board meeting is scheduled to take place. According to information cited by Handelsblatt, a lot of owners within M31 consider selling or reducing their interests in the face of the huge capital needed for the modernisation and expansion of the German grid.
