Notice Regarding Revision of Directors' Remuneration (Including Remuneration for Granting of Restricted Stock)
SKY Perfect JSAT Corporation (the "Company") hereby announces that, at the meeting of its Board of Directors held today, it resolved to revise the amount of remuneration for directors and to submit the proposal (the "Proposal") to the 19th Annual General Meeting of Shareholders scheduled to be held on June 19, 2026 for approval, as described below.
In addition, the Nomination and Compensation Committee, a voluntary advisory body chaired by an outside director and composed of a majority of outside directors, has determined that the contents of the Proposal are appropriate.
The amount of director remuneration at the Company was approved to be within JPY 300 million annually (within JPY 60 million for outside directors) at the 1st Annual General Meeting of Shareholders held on June 27, 2008. This amount does not include the salary portion for directors who concurrently serve as employees. In addition, at the 13th Annual General Meeting of Shareholders held on July 30, 2020, it was approved that, under the restricted stock-based remuneration system (the "System"), remuneration for the grant of restricted stock to directors (excluding outside directors; hereinafter "Target Officers") shall be within JPY 60 million of the current annual monetary receivables limit, excluding the salary portion for directors who concurrently serve as employees, and that the total number of common stock shares of the Company to be issued or disposed of under the System shall be within 260,000 shares annually.
Since then, while directors' remuneration has been administered within this framework, amid rapid changes in the business environment surrounding the Company, the responsibilities required of directors have become increasingly advanced and diverse.
In light of these circumstances, and in order to maintain remuneration at an appropriate level commensurate with such responsibilities and secure highly capable talent, the Company has decided to revise the amount of directors' remuneration to no more than JPY 500 million per year, of which no more than JPY 100 million per year is allocated to outside directors. This amount does not include the salary portion for directors who concurrently serve as employees. Furthermore, from the perspective of strengthening directors' awareness of the need to enhance corporate value on a sustained basis, the Company has decided, within the above framework, to revise the remuneration for the grant of restricted stock to the Target Officers under the System to no more than JPY 100 million per year. This amount does not include the salary portion for directors who concurrently serve as employees.
There will be no change to the annual limit of 260,000 shares of the Company's common stock to be issued or disposed of under the System or to any other matters relating to the System.
Note: For an overview of the System, please refer to the "Notice on the Adoption of a Restricted StockBased Remuneration System" dated June 25, 2020. The Company has also introduced a restricted stock plan similar to the System for its executive officers and fellows.
