On February 9, 2026, TransAct Technologies Incorporated entered into a lease agreement with Constantino Noval Nevada 3, LLC to lease approximately 9,427 square feet of office space located at 6140 Brent Thurman Way, Suite 140, Las Vegas, Nevada (the New Premises). Important factors and uncertainties that could cause actual events or results to differ materially from those expressed or implied by the forward-looking statements include, but are not limited to, the following: the timing of, and costs associated with, the Company's occupancy of the New Premises and transition of operations; changes in, or the extent of, operating expenses and other facility-related costs (including common area maintenance charges, utilities, taxes and insurance) associated with the New Premises; the extent of one-time or ongoing costs related to the relocation, which may reduce or delay any expected savings; changes in the Company's business, headcount, or space requirements that impact the anticipated benefits of the relocation; and the Landlord's ability to perform its obligations under the Lease, including completing tenant improvements and providing building services, and any disruption resulting from a change in ownership or management of the property. In addition to Lessee's rights to use and occupy the Premises as hereinafter specified, Lessee shall have non-exclusive rights to the Common Areas (as defined in Paragraph 2.7 below) as hereinafter specified, but shall not have any rights to the roof, the exterior walls, the area above the dropped ceilings, or the utility raceways of the building containing the Premises ("Building") or to any other buildings in the Project.
Lessee grants to Lessee, for the benefit of Lessee and its employees, suppliers, shippers, contractors, customers and invitees, during the term of this Lease, the non-exclusive right to use, in common with others entitled to such use, the Common Areas as they exist from time to time, subject to any rights, powers, and privileges reserved by Lessor under the terms hereof or under the terms of any rules and regulations or restrictions governing the use of the Project. Under no circumstances shall the right herein granted to use the Common Areas be deemed to include the right to store any property, temporarily or permanently, in the Common Areas. Any item of Operating Expense that is specifically attributable to the Premises, the Building or to any other building in the Project, to the leased Premises or any other Lessee or Lessees, or to the operation, repair and maintenance thereof, shall be allocated entirely to such Premises, Building, or other building.
However, any such item that is not specifically attributable to the Building or to any other buildings in The Project. Said costs shall include increases in the premiums resulting from additional coverage related to requirements of the holder of a mortgage or deed of trust covering the Premises, Building and/or Project, increased valuation of the Premises, Building and and/or Project, and/or a general premium rate increase.
Lessor shall obtain and keep in force a policy or policies of insurance in the name of Lessor, with loss payable to Lessor, any ground-lessor, and to any Lender insuring loss or damage to the Building and/or Project. The amount of such insurance shall be equal to the full insurable replacement cost of the Building and/or Project, as the same shall exist from time to time, or the amount required by any Lender, but in no event more than the commercially reasonable and available insurable value thereof. Lessor may also: change the name, address or title of the Building or Project upon at least 90 days prior written notice; provide and install, at Lessee's expense, Building standard graphics on the door of the Building or such portions of the Common Areas as Lessor shall reasonably deems necessary or displays as Lessor shall reasonably deems required or otherwise deemed necessary or otherwise upon the roof, exterior of the Project or otherwise deemed necessary upon the roof, exterior Of the Project or the Project or the Project or to the Project or on signs in the Project or the Project or on signs in The Project or on signs in the Common Areas.
