Tyler Technologies, Inc. (NYSE:TYL) signed a definitive agreement to acquire the remaining stake in FTR Pty Ltd from Bison Capital Partners V, L.P., a fund managed by Bison Capital Asset Management, LLC and others for approximately $210 million on February 2, 2026. A cash consideration of $212.5 million will be paid by Tyler Technologies, Inc. As part of consideration, $212.5 million is paid towards common equity of FTR Pty Ltd.
The management and staff of For The Record will become part of Tyler?s Courts & Justice Division after closing.
The transaction is subject to the satisfaction of customary closing conditions and regulatory approvals. The transaction is is expected to close in the first quarter of 2026.
