(Alliance News) - UniCredit has surpassed a 40% stake in Commerzbank through a combination of shares and derivatives, while take-up for the exchange offer launched by the Andrea Orcel-led group remains at a marginal 0.02%, Milano Finanza reported on Wednesday.

According to the latest BaFin data, UniCredit holds 26.77% of Commerzbank in shares, supplemented by 10.7% via cash-settled derivatives and a further 3.22% through total return swaps.

The public exchange offer is moving slowly, partly because the exchange ratio of 0.485 UniCredit shares for each Commerzbank share continues to trade at a discount to the German lender's market price, the newspaper added.

Meanwhile, Commerzbank's management and supervisory boards have recommended that shareholders reject the offer, judging it to lack an adequate premium and to be unsupported by a credible industrial integration plan.

UniCredit has dismissed the criticism and, according to market rumors, is not currently considering a sweetened bid.
