On January 21, 2026, Venus Concept Inc. announced its decision to voluntarily delist its common stock from the NASDAQ Capital Market and deregister its common stock with the Securities and Exchange Commission (SEC). The Company's Board of Directors concluded that the resources required to maintain its reporting obligations with the SEC outweighed the benefits derived from the NASDAQ listing, despite being in compliance with applicable listing requirements. Venus Concept has notified NASDAQ of its intent to delist and deregister, planning to file a Form 25 (Notification of Removal from Listing) with the SEC around January 30, 2026, with the last trading day of its common stock on NASDAQ expected to be approximately February 6, 2026.
Additionally, the Company intends to file a Form 15 (Certification and Notice of Termination From Registration) with the SEC around February 9, 2026, which will immediately suspend its obligation to file periodic reports, including Forms 10-K, 10-Q, and 8-K. Rajiv De Silva, the Chief Executive Officer of Venus Concept, stated that the Board's thorough evaluation led to the determination that this action is in the best interests of the Company and its shareholders. He emphasized that the reduced compliance costs would facilitate the Company's ongoing turnaround plan. Furthermore, Venus Concept will continue to collaborate with Madryn Asset Management to position the Company for sustained, long-term financial success.
