Wanguo Gold Group Limited announced that with effect from February 2, 2026, Mr. Chen Jinghe will be appointed as the Chief Advisor. Mr. Chen Jinghe, aged 68, had long served as the executive director and chairman of the board of Zijin Mining Group Co. Ltd. He graduated from the Fuzhou University with a bachelor?s degree in geology and obtained an EMBA degree from the Xiamen University.
He is a professor-grade senior engineer who is entitled to special allowance from the State Council. He is the founder and core leader of Zijin Mining who pioneered the ?five-stage life-of-mine project management procedure by in-house capabilities? mining engineering management model.
He is a renowned expert and manager both in the People?s Republic of China and abroad in the fields of metallic mineral resources exploration and development. Mr. Chen?s primary responsibilities as the Chief Advisor include development strategy advisory services, management systems and capital operations development recommendations, major mergers and acquisitions, project construction, and technical consultation and advice on technological upgrades, and discharge of responsibilities assigned by the Board of Directors/Chairman. The Company has entered into a service agreement with Mr. Chen for an initial term of four years commencing from February 2, 2026.
The Company announced that a Strategic Development Committee has been set up for advising on development strategies for the Group?s existing operations as well as potential projects in future. The primary duties of the SDC include research and recommend on the medium-term and long-term development strategy of including but not limited to acquisition of new mines; review and recommend on the medium-term and long-term strategic goals and development plans of the business; research and recommend on any other significant matters affecting the development. SDC comprises the following members: Mr. Chen Jinghe, aged 68, has been appointed as the director of SDC.
Mr. Zhang Songlin, aged 66, has been appointed as a committee member of SDC and is the Strategic Investment Expert in Mining Resources. He previously served as an external Chief Technical Advisor for the Company. He served as a board director of Baosteel Resources Co.
Ltd. and Baosteel Resources (International) Co. Ltd. from 2018 to 2024. He worked as Vice President and Chief Engineer of China Gold International Resources Corp.
Ltd. from February 2012 to May 2018. He also worked for Newmont Gold and Kinross Gold for the gold projects in North and South America. Mr. Zhang has over 40 years of experience in the mining industry across North America, South America, Africa, Russia and China, with extensive expertise in mine project evaluation, reserve and resource estimation, mine planning and economic analysis.
Mr. Zhang holds a Master?s Degree in Mining Engineering from Mackay School of Mines, University of Nevada-Reno in Nevada, USA, a Master?s Degree in Mining Engineering from the University of Science and Technology Beijing, China and a Bachelor?s Degree in Mining from the University of Science and Technology Beijing, China. Mr. Zhang is a registered member of The Society for Mining, Metallurgy and Exploration and is a Qualified Person as defined in National Instrument 43-101 of the Canadian Securities Administrators. Mr. Luo Yingnan, aged 68, has been appointed as a committee member of SDC and is the Strategic Development Specialist in Mining Resources.
He has more than 40 years of experience in mineral exploration and development. Mr. Luo served as Vice Chairman of Xiamen Hengxing Group Co. Ltd., mainly for overseeing mining development during 2014 and 2021.
He also held various positions in Zijin Mining, including General Manager, Vice Chairman, and President from 2000 to 2013. From 1998 to 1999, he served as Manager of Longyan City Metallurgical Industry Company. From 1993 to 1997, he held the position of Deputy Manager at Fujian Province Longyan City Coal Industry Company.
Between 1991 and 1992, Mr. Luo served as Team Leader of the Second Geological Survey Team under the Second Geological Survey Bureau of the Ministry of Metallurgical Industry. Mr. Luo graduated from Fuzhou University with a Bachelor of Engineering degree in Geology in January 1982. He is a professor-grade senior engineer.
He also obtained the title of professor-grade senior engineer from Fujian Provincial Personnel Department in June 2005.
