The board (the "Board") of directors (the "Director(s)") of Wuling Motors Holdings Limited announced that Mr. Wang Yuben ("Mr. Wang") has tendered his resignation as an independent non-executive Director and a member of each of the audit committee of the Board, the nomination committee of the Board, the remuneration committee of the Board and the environmental, social and governance committee of the Board (the "ESG Committee") with effect from 20 November 2025 (the "Resignation") in order to devote more time to his personal and other business commitments. The Board announces that Mr. Liu Jieming ("Mr. Liu") has been appointed an independent non-executive Director with effect from 20 November 2025. Mr. Liu, aged 51, has been a professor specialising in the field of intellectual property rights at Wuhan University of Technology (the "WUT"), the People's Republic of China (the "PRC") since April 2018 and the dean of the School of Law and Humanities at WUT since June 2024. Mr. Liu was a visiting scholar at the University of Helsinki in Finland and the University of Vaasa in Finland from March 2016 to April 2017. Mr. Liu obtained a graduation certificate of doctoral candidate in management science and engineering from WUT in June 2009. Other than the positions stated above, Mr. Liu had among others the following major appointments in the field of intellectual property in the PRC: (a) a director of the China Intellectual Property Society since February 2023; (b) an intellectual property administrative protection technical investigator in Hubei since November 2024; (c) a member of the Sixth Weihai Arbitration Commission since April 2024; (d) an expert on responding to overseas intellectual property disputes of Wuhan in September 2022; (e) a high-level expert in the science and technology expert database of the Department of Science and Technology of Hubei in March 2022; (f) a national intellectual property administration patent
analysis and early warning expert of the State Intellectual Property Office of the PRC (the "SIPO") in June 2022; and (g) a national intellectual property database expert of SIPO since December 2011. Besides, during the course of his teaching profession and as an industry expert in the field of intellectual property, Mr. Liu has obtained and has been awarded with a number of certifications and honours which among others included: (a) a certificate of award for teaching achievements in higher education institutions (first prize) from The People's Government of Hubei Province ("PGHP") in February 2023; (b) a certificate for national premium online open courses and certificate for national-level first-class undergraduate course) from the Ministry of Education of the PRC in 2020 and 2019, respectively; (c) a development research award (third prize) from PGHP in February 2013; (d) the 2022 talent plan cultivation and support project certificate from the Municipal Office of the Leading Group for Development of the Service Industry in Wuhan in September 2023; (e) the
science and technology progress award (third prize) from PGHP in December 2011; and (f) the national leading talent in patent information from SIPO in July 2015. The Board further announces that in relation to the Appointment, Mr. Liu has also been appointed as a member of each of the Audit Committee, the Nomination Committee, the Remuneration Committee and the ESG Committee with effect from 20 November 2025.
