Kunming Sinobright Co., Ltd. signed an equity transfer agreement to acquire a 6% stake in Beijing 5i5j Real Estate Brokerage Co., Ltd. from Tibet Lihe Investment Management Co., Ltd, Ji’an Taihe Dali Investment Management Co., Ltd. and Beijing Zhiyi Aijia Venture Capital Center (limited partnership) for approximately CNY 380 million.

Kunming Sinobright (Group) Co., Ltd. (SZSE:000560) signed an equity transfer agreement to acquire 6% stake in Beijing 5i5j Real Estate Brokerage Co., Ltd. from Tibet Lihe Investment Management Co., Ltd, Ji’an Taihe Dali Investment Management Co., Ltd. and Beijing Zhiyi Aijia Venture Capital Center (limited partnership) for approximately CNY 380 million on February 26, 2017. Tibet Lihe Investment Management Co., Ltd. will sell 4% stake for CNY 252 million, Beijing Zhiyi Aijia Venture Capital Center (limited partnership) will sell 1% stake for CNY 62.9 million and Ji’an Taihe Dali Investment Management Co., Ltd. will sell 1% stake for CNY 63 million. In a related transaction, Kunming Sinobright (Group) Co., Ltd. (SZSE:000560) agreed to acquire a 94% stake in Beijing 5i5j Real Estate Brokerage Co., Ltd. for CNY 6.2 billion on February 26, 2017. Kunming Sinobright (Group) Co., Ltd. will raise CNY 2.5 billion in a private placement to fund the acquisition, projects. As of September 30, 2016, Beijing 5i5j Real Estate Brokerage Co., Ltd. reported owner’s equity of CNY 749.4 million and total assets of CNY 5.1 billion. On February 26, 2017, the Board of Directors of Kunming Sinobright (Group) Co., Ltd. approved the deal. On June 22, 2017, stockholders of Kunming Sinobright (Group) Co., Ltd. approved the transaction.
