Perfezionato un accordo modificativo relativo all'operazione rifinanziamento, conclusa in data 12 febbraio 2015, mediante la sottoscrizione di un contratto di finanziamento per un ammontare pari ad Euro 175 milioni con Goldman Sachs, in qualità di "Mandated Lead Arranger and Bookrunner"

Roma, 22 giugno 2017 - A.S. Roma S.p.A. (di seguito, la "Società") rende noto che, in data odierna, si è perfezionata l'operazione avente ad oggetto la rinegoziazione dei termini e delle condizioni dell'operazione di finanziamento, conclusa il 12 febbraio 2015, mediante la sottoscrizione di un contratto di finanziamento per un ammontare pari a 175 milioni con Goldman Sachs International e Unicredit S.p.A., in qualità di Mandated Lead Arranger e Bookrunner, nonché delle garanzie ad essa connesse (l'Operazione").

Nell'ambito dell'Operazione, è stato sottoscritto un accordo modificativo, disciplinato dalla legge inglese, da sottoscriversi tra, inter alia, (i) Unicredit S.p.A., in qualità di banca finanziatrice aggiuntiva; (ii) UniCredit Bank AG - Filiale di Milano, in qualità di Agent e Security Agent; e (iii) ASR Media and Sponsorship S.r.l. ("MediaCo"), in qualità di beneficiaria (di seguito, l' "Accordo Modificativo"), volto a modificare talune previsioni del contratto di finanziamento sottoscritto in data 10 febbraio 2015 per un ammontare pari ad Euro 175,000,000, così come modificato dall'accordo sottoscritto in data 24 giugno 2015 (il "Contratto di Finanziamento"). Al riguardo, si precisa che Unicredit S.p.A. svolgerà attività di "fronting" e non sarà creditore ultimo del Contratto di Finanziamento, come modificato dall'Accordo Modificativo.

Ai sensi dell'Accordo Modificativo, la data di scadenza del Contratto di Finanziamento sarà estesa sino al quinto anniversario dalla data di efficacia dello stesso, vale a dire giugno 2022 ("Data di Modifica"), e la data del rimborso degli importi originariamente prevista dal Contratto di Finanziamento inizierà a decorrere dal primo anniversario successivo alla Data di Modifica.

Inoltre, ai sensi dell'Accordo Modificativo la linea di credito erogata con il Contratto di Finanziamento sarà incrementata da Euro 175 milioni sino ad Euro 230 milioni ed il tasso di interesse ivi previsto resterà invariato.

Standard & Poor's Rating Services ha attribuito una valutazione di merito di credito pari a "BB+" al Contratto di Finanziamento ed alle relative parti coinvolte.

Le somme ricevute in conseguenza dell'Operazione saranno utilizzate dalla Società per esigenze connesse alla propria gestione operativa e per il pagamento dei costi dell'Operazione.

In relazione all'estensione della data di scadenza del Contratto di Finanziamento, la Società è chiamata a sottoscrivere determinati accordi modificativi, relativi ad accordi sottoscritti nell'ambito dell'operazione perfezionata in data 12 febbraio 2015, al fine di estenderne la durata di conseguenza.

Contestualmente, la Società e Stadio TDV S.p.A. ("StadCo") risolveranno consensualmente il finanziamento infragruppo sottoscritto in data 16 maggio 2016, unitamente alle garanzie connesse che coinvolgono, a vario titolo, la Società, Neep Roma Holding S.p.A. e AS Roma SPV, LLC.

La Società rende noto, inoltre, che determinati accordi relativi all'Operazione, ai sensi dell'art. 6.1 della procedura con parti correlate adottata da A.S. Roma S.p.A. (di seguito, la "Procedura") sono stati sottoposti all'attenzione del Comitato per il Controllo Interno e Gestione Rischi. Valutata l'Operazione come "operazione di maggiore rilevanza", ai sensi dell'art. 3.15 della Procedura, specifiche ulteriori informazioni relative alle operazioni poste in essere tra le parti correlate, funzionali all'Operazione, saranno rese note in un Documento Informativo che sarà pubblicato secondo i termini e le modalità contemplate dalla vigente normativa di riferimento.

I costi di emissione e le spese dei consulenti legali e finanziari sono conformi ai valori standard di mercato per operazioni similari.

Execution of an "Amendment and Restatement Agreement" concerning the refinancing transaction of Euro 175 million, completed on 12 February 2015, through the execution of a senior secured facility led by Goldman Sachs, as "Mandated Lead Arranger and Bookrunner", and the relevant security package Rome, 22 June 2017 - A.S. Roma S.p.A. ( hereinafter the "Company") announces that on the date hereof the renegotiation of the terms and conditions concerning the refinancing transaction of Euro 175 million, completed on 12 February 2015, through the execution of a senior secured facility led by Goldman Sachs and UniCredit S.p.A., as "Mandated Lead Arranger and Bookrunner", and the relevant security package (hereinafter the "Transaction") have been successfully concluded.

As a part of the Transaction, an "Amendment and Restatement Agreement", governed under English Laws, was entered into by and among, inter alia, (i) UniCredit S.p.A., as additional commitment lender; (ii) UniCredit Bank AG - Milan Branch as "Agent" and "Security Agent"; and (iii) ASR Media and Sponsorship S.r.l., as borrower, in order to amend certain provisions of the facility agreement dated February 10, 2015 of Euro 175,000,000, as amended by the amendment agreement dated June 24, 2015 ("Facility Agreement"). In this regard, please note that Unicredit S.p.A. will carry out "fronting" activities and not will be ultimate creditor of the Facility Agreement, as amended by the "Amendment and Restatement Agreement".

Pursuant to the "Amendment and Restatement Agreement" the maturity date of the Facility Agreement will be extended to the fifth anniversary of the execution date of the "Amendment and Restatement Agreement" ("Amendment Date"), namely June 2022, and the repayment schedule originally set forth by the Facility Agreement will start from the first anniversary of the Amendment Date.

Moreover, pursuant to the "Amendment and Restatement Agreement" the commitments of the Facility Agreement will be increased from €175 million up to €230 million and the interest rate set forth therein will remain unchanged.

Standard & Poor's Ratings Services has assigned a 'BB+' credit rating to the Transaction and its constituent parts.

The amounts arising from the Transaction will be used by the Company to meet its management operational needs and repay the Transaction costs.

In connection with the extension of the maturity date of the Facility Agreement, the Company has been requested to execute certain amendment agreements, related to agreements executed within the transaction completed on 12 February 2015, in order to extend the terms of duration accordingly.

In the same context, the Intercompany loan Facility Agreement entered into by and between the Company and Stadio TDV S.p.A. on 16 May 2016, together with the relevant security package involving, in several respects, the Company, Neep Roma Holding S.p.A. and AS Roma SPV, LLC, will be mutually terminated.

Certain agreements relating to the Transaction have been submitted, pursuant to Art. 6.1 of the Company's Related Party Regulation, (hereinafter the "Regulation") to the Risk Management and Internal Audit Committee evaluation. Being the Transaction qualified as "Significant Transaction", pursuant to art. 3.15 of the Regulation, further specific information about the related party agreements pertaining the Transaction will be disclosed in the Information Document to be published in compliance with the relevant regulatory provisions.

The costs of issuance and expenses of the financial and legal advisors are at standard market value for similar transactions.
