(9 aprile 2014) Facendo seguito alle informazioni precedentemente comunicate al mercato in data
26 marzo 2014, AS Roma SPV, LLC, azionista di maggioranza di NEEP Roma Holding S.p.A. (società controllante di A.S. Roma S.p.A.) e Starwood Capital Group, una azienda statunitense leader nel settore immobiliare, rendono noto che è stato formalizzato un accordo tra le parti in virtù del quale Starwood Capital Group, attraverso una società da questa controllata, ASR SOF-IX Investment L.L.C., è divenuta azionista di AS Roma SPV, LLC.
Nell'ambito della suddetta operazione, l' Investor Committee di AS Roma SPV, LLC - organo responsabile della gestione operativa di AS Roma SPV, LLC - sarà ampliato da quattro (4) a cinque (5) componenti, e gli attuali membri dell' Investor Committee, James J. Pallotta, Richard D'Amore, Thomas DiBenedetto and Michael Ruane, saranno integrati nell' Investor Committee da un rappresentante di ASR SOF-IX Investment L.L.C..
Tutte le decisioni dell'Investor Committee di AS Roma SPV, LLC continueranno ad essere assunte con il voto di maggioranza dei suoi membri, e il Dott. Pallotta continuerà a mantenere stabilmente il controllo operativo di A.S. Roma S.p.A.

AS ROMA SPV LLC PRESS RELEASE

(9 April 2014) - Following information already disclosed to the market on 26 March 2014, AS Roma SPV, LLC, the majority shareholder of NEEP Roma Holdings S.p.A. (the controlling shareholder of AS Roma S.p.A.), and Starwood Capital Group a private U.S. based leading global investment firm, informs that an agreement has been formalized among the parties pursuant to which Starwood Capital Group, through a controlled affiliate, ASR SOF-IX Investment L.L.C., became an equity investor of AS Roma SPV.
In connection with this transaction, AS Roma SPV's Investor Committee - which is responsible for the management and operations of AS Roma SPV - will increase from four (4) members to five (5) members, and the existing members of the Committee, James J. Pallotta, RichardD'Amore, Thomas DiBenedetto and Michael Ruane, will be joined on the Committee by a representative of ASR SOF-IX Investment, L.L.C.
All decisions of the AS Roma SPV Investor Committee will continue to require the vote of a majority of its members, and Mr. Pallotta will continue to remain in control of the day-to-day operations of AS Roma S.p.A.
