Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal

           Year.

On February 18, 2022, Abbott's Board of Directors amended the first sentence of Article III, Section 2 of Abbott's by-laws to provide that Abbott's Board of Directors shall consist of twelve persons, effective April 29, 2022. Abbott's by-laws currently provide that the Board of Directors consists of thirteen persons.
