Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 26, 2022, Felix Carbullido notified Abercrombie & Fitch Co. (the "Company") of his intention to step down as a member of the Company's Board of Directors (the "Board"), effective August 1, 2022 (the "Effective Date"), in connection with his newly appointed role as President of the Williams Sonoma brand of Williams-Sonoma, Inc. The Board thanks Mr. Carbullido for his three years of service to the Company and its stockholders.

As of the Effective Date, the Board has reduced its size from 11 to 10 members.

On August 1, 2022, the Company issued a news release regarding Mr. Carbullido's departure from the Board, a copy of which is included as Exhibit 99.1 attached hereto and incorporated herein by reference.
