(b)  Resignation of Director.

On September 14, 2020, Jack Goldstein, Ph.D. notified the Board of Directors (the "Board") of Accuray Incorporated (the "Company") of his intention not to stand for re-election at the Company's 2020 annual meeting of stockholders to be held in November 2020 (the "Annual Meeting"). Dr. Goldstein will continue to serve as a director and member of the Nominating and Corporate Governance Committees until the conclusion of the Annual Meeting. The decision by Dr. Goldstein to not stand for re-election is not due to any disagreement with the Company on any matter relating to the Company's operations, policies or practices.
