ACEN Executive Committee approval of Sponsor Documents for SLTEC Refinancing

Background/Description of the Disclosure

In line with the Board's approval on 18 October 2021 to leverage on the innovative energy transition mechanism to enable the earlier transition of the coal plant owned by ACEN's subsidiary, South Luzon Thermal Energy Corp. ("SLTEC") to a cleaner technology, the Executive Committee approved today the execution by ACEN, as the project sponsor of SLTEC, of relevant documents (the "Sponsor Documents") for the refinancing of SLTEC under an energy transition financing with certain Philippine banks as lenders, and the delegation to the President, John Eric T. Francia, and CFO, Maria Corazon G. Dizon, of authority to finalize the terms and conditions of the Sponsor Documents and the list of lenders for SLTEC's energy transition financing.
