Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On and effective September 1, 2021, the Board of Directors (the "Board") of Advance Auto Parts, Inc. (the "Company") appointed Sherice R. Torres to the Board. The Board has not yet determined on which committee(s) Ms. Torres will serve. There is no arrangement or understanding with any person pursuant to which Ms. Torres was appointed as a director, and she will receive compensation for service as a director in accordance with the Company's policy for compensation of non-employee directors.

In connection with her appointment to the Board, Ms. Torres is expected to enter into the Company's standard form of indemnification agreement, a copy of which is filed as Exhibit 10.1 to the Company's Annual Report on Form 10-K and is incorporated herein by reference.

On September 1, 2021, the Company issued a press release regarding the appointment of Ms. Torres to the Board, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
